By accessing or using Greenhouse Labs' website, services, or any of our AI development tools and incubator projects, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.

These Terms apply to all users, including visitors, clients, and participants in our incubator program. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any changes.

2. Description of Services

Greenhouse Labs provides:

  • Custom AI Development: Bespoke artificial intelligence applications, tools, and integrations
  • Project Incubator: A platform showcasing projects in various stages: Seedling (prototypes), Blooming (active development), and Harvest (launched products)
  • Digital Products: Downloadable tools, browser extensions, and software applications
  • Content & Resources: Blog posts, research notes, and educational content about AI development
  • Community Access: Newsletter, Discord community, and early access programs

3. User Accounts and Registration

Account Creation

  • You may need to create an account to access certain services
  • You must provide accurate, current, and complete information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must be at least 18 years old to create an account

Account Responsibility

  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use
  • We reserve the right to suspend or terminate accounts that violate these Terms

4. Custom Development Services

Service Engagement

  • Project Scope: All custom development projects require a detailed scope of work and signed agreement
  • Timeline: Project timelines are estimates and may vary based on complexity and client feedback cycles
  • Revisions: Scope changes may result in additional costs and timeline adjustments
  • Collaboration: Client participation and timely feedback are essential for project success

Deliverables and Ownership

  • Code Ownership: Upon full payment, clients receive ownership of custom code developed specifically for their project
  • Third-Party Components: Open-source libraries and third-party services remain under their respective licenses
  • Greenhouse Labs IP: We retain rights to general methodologies, frameworks, and knowledge gained
  • Portfolio Rights: We may showcase completed projects (with client consent) for marketing purposes

5. Incubator Projects and Access Tiers

Project Stages

  • Seedling: Early-stage prototypes and proofs of concept, available for community feedback
  • Blooming: Active development projects with beta access for Builder and Studio tier members
  • Harvest: Completed projects available for purchase or licensing

Access Tiers

Creator (Free)

Community access, development logs, newsletter

Builder ($9/month)

Early access to Blooming projects, downloadable tools, private Discord

Studio ($29/month)

Commercial licenses, priority support, beta program invitations

Beta Access and Feedback

  • Beta access is provided "as-is" without warranties for production use
  • Participants may provide feedback, bug reports, and feature suggestions
  • We are not obligated to implement suggested features or fixes
  • Beta projects may be discontinued or significantly changed before launch

6. Payment and Billing

Custom Development

  • Payment Schedule: Typically 50% upfront, remainder upon completion (specific terms in project agreement)
  • Payment Methods: We accept major credit cards and bank transfers via Stripe
  • Late Payments: Projects may be paused for overdue invoices beyond 15 days
  • Refunds: Refunds are considered on a case-by-case basis for uncompleted work

Subscription Services

  • Billing Cycle: Monthly subscriptions are billed on the same day each month
  • Cancellation: You may cancel your subscription at any time; access continues until the end of the billing period
  • Price Changes: We will provide 30 days notice of any price increases
  • Taxes: Prices do not include applicable taxes, which will be added at checkout

7. Intellectual Property Rights

Greenhouse Labs Content

  • All content on our website, including text, graphics, logos, and software, is owned by Greenhouse Labs
  • Our incubator projects, tools, and methodologies are protected by copyright and trade secret laws
  • You may not copy, distribute, or create derivative works without written permission

User-Generated Content

  • You retain ownership of content you submit (feedback, comments, project descriptions)
  • By submitting content, you grant us a non-exclusive license to use it for business purposes
  • You represent that your content does not infringe on third-party rights

Open Source Components

  • Some of our projects incorporate open-source libraries under their respective licenses
  • We may release certain tools and components under open-source licenses
  • Open-source components remain subject to their original license terms

8. Acceptable Use Policy

You agree not to use our services for:

  • Illegal Activities: Any illegal purpose or in violation of applicable laws
  • Harmful Content: Creating, distributing, or promoting harmful, abusive, or discriminatory content
  • Security Violations: Attempting to hack, reverse engineer, or compromise our systems
  • Spam: Sending unsolicited communications or overloading our systems
  • Intellectual Property Infringement: Using our services to infringe on others' intellectual property rights
  • Competing Services: Using our tools to create direct competitors to our services

9. Privacy and Data Protection

Your privacy is important to us. Our data collection and use practices are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as described in the Privacy Policy.

10. Disclaimers and Limitations

Service Availability

  • Services are provided "as-is" without warranties of any kind
  • We do not guarantee uninterrupted service availability
  • Scheduled maintenance may temporarily affect service access

AI and Technology Limitations

  • AI technologies may produce unexpected or inaccurate results
  • Custom applications require proper testing before production use
  • Third-party integrations may have their own limitations and terms
  • Technology solutions may require ongoing maintenance and updates

Limitation of Liability

To the maximum extent permitted by law, Greenhouse Labs shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability for any claim shall not exceed the amount you paid for the specific service in question.

11. Termination

Termination by You

  • You may stop using our services at any time
  • Subscription cancellations take effect at the end of the current billing period
  • Custom development project termination is subject to the project agreement

Termination by Us

  • We may suspend or terminate your access for violations of these Terms
  • We may discontinue services with reasonable notice
  • Termination does not affect completed custom development projects

12. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the jurisdiction where Greenhouse Labs is headquartered. You waive any right to participate in class-action lawsuits or class-wide arbitrations.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state where Greenhouse Labs is incorporated, without regard to conflict of law principles.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice at least 30 days before taking effect. Your continued use of our services after changes become effective constitutes acceptance of the updated Terms.
